We Secure Data Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the use of the We Secure Data platform and related services ("Service") provided by We Secure Data Ltd ("We Secure Data", "we", "our", or "us").

By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. The Service

We Secure Data provides software designed to facilitate the secure storage, sharing, transmission, verification, and management of information and digital assets.

The Service may include:

  • Secure messages
  • Secure file sharing
  • Secure vaults and document repositories
  • Cryptographic provenance and verification services
  • Audit and compliance reporting
  • Customer-managed encryption key integration
  • Bring Your Own Cloud (BYOC) deployments
  • APIs and integrations

Features may vary by deployment, subscription plan, or customer configuration.

3. Customer Responsibility

You are responsible for:

  • All content uploaded, stored, transmitted, or shared through the Service.
  • Managing your users, permissions, and access controls.
  • Maintaining the confidentiality of login credentials.
  • Compliance with all applicable laws and regulations.
  • Ensuring the accuracy of recipient information.

You must not use the Service for unlawful, fraudulent, abusive, or malicious purposes.

4. Encryption and Customer-Controlled Keys

Certain deployments of the Service support customer-controlled encryption keys, including integration with customer-managed Key Management Systems (KMS) or Hardware Security Modules (HSMs).

Where customer-controlled encryption is enabled:

  • Encryption keys remain under the customer's control.
  • We Secure Data may be technically unable to decrypt customer content.
  • Customers are solely responsible for maintaining access to their encryption keys.
  • Loss, deletion, corruption, rotation, revocation, or misconfiguration of encryption keys may permanently render data inaccessible.
  • We Secure Data shall have no liability for any loss of access resulting from customer key management decisions.

5. Bring Your Own Cloud (BYOC) Deployments

Some customers may deploy the Service within cloud infrastructure owned or controlled by the customer.

For BYOC deployments:

  • The customer is responsible for their cloud infrastructure.
  • The customer is responsible for cloud security configurations.
  • The customer is responsible for backups unless otherwise agreed in writing.
  • The customer is responsible for infrastructure availability and disaster recovery arrangements.
  • We Secure Data is not liable for outages, data loss, security incidents, or service degradation arising from customer-controlled infrastructure.

6. Zero-Knowledge Architecture

The Service may be configured to operate using end-to-end or client-side encryption.

Where such functionality is enabled:

  • We Secure Data may not possess the technical ability to access customer content.
  • We Secure Data cannot recover encrypted data where the customer no longer possesses the required encryption keys.
  • Customers acknowledge that certain support activities may be limited by the architecture of the Service.

7. Provenance and Verification Services

The Service may provide cryptographic verification, audit trail, provenance, integrity verification, timestamping, and related evidence services.

These features are intended to provide evidence regarding:

  • File integrity
  • Message integrity
  • Audit events
  • Document provenance
  • Verification history

While these services are designed to provide strong cryptographic assurances, We Secure Data does not warrant that such evidence will be accepted by any specific court, regulator, government authority, or third party.

Customers remain responsible for determining whether such evidence satisfies their legal, regulatory, or evidential requirements.

8. Availability

We will use commercially reasonable efforts to maintain availability of the Service.

We do not guarantee uninterrupted or error-free operation.

The Service may be unavailable due to:

  • Maintenance
  • Upgrades
  • Security measures
  • Internet failures
  • Third-party service failures
  • Customer infrastructure issues

9. Intellectual Property

All intellectual property rights in the Service, including software, designs, trademarks, documentation, and related materials, remain the property of We Secure Data Ltd or its licensors.

No ownership rights are transferred to customers.

Customers retain ownership of all customer content.

10. Data Ownership

Customers retain all rights, title, and interest in their content.

Except as necessary to operate the Service, We Secure Data acquires no ownership rights in customer content.

11. Acceptable Use

Customers shall not:

  • Attempt to gain unauthorised access to systems or accounts.
  • Interfere with operation of the Service.
  • Reverse engineer the Service except where permitted by law.
  • Distribute malware or malicious content.
  • Use the Service for unlawful activities.

We reserve the right to suspend access where necessary to protect the Service, users, or third parties.

12. Limitation of Liability

To the maximum extent permitted by law, We Secure Data shall not be liable for:

  • Loss of profits
  • Loss of revenue
  • Loss of business opportunities
  • Loss of goodwill
  • Loss of anticipated savings
  • Loss of data
  • Loss arising from customer-controlled encryption keys
  • Loss arising from customer cloud infrastructure
  • Indirect or consequential losses

Our total aggregate liability arising under these Terms shall not exceed the fees paid by the customer during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

13. Indemnification

Customers agree to indemnify and hold harmless We Secure Data, its directors, employees, and contractors against claims arising from:

  • Customer content
  • Customer misuse of the Service
  • Breach of these Terms
  • Violation of applicable laws

14. Termination

Customers may stop using the Service at any time.

We may suspend or terminate access where:

  • These Terms are breached.
  • Fees remain unpaid.
  • Continued access presents a security risk.
  • Required by law.

Termination does not affect accrued rights or obligations.

15. Changes to the Service

We may modify, improve, replace, or discontinue features of the Service from time to time.

We will use reasonable efforts to provide notice of material changes where practical.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over disputes arising under these Terms.

18. Entire Agreement

These Terms constitute the entire agreement between the parties relating to the Service and supersede all prior agreements, understandings, and representations relating to the subject matter of these Terms.
